Terms

These Terms govern your access to and use of winter.ink (“the Site”). They form a binding agreement between you and us.

In these Terms, “we”, “us”, and “our” refer jointly to Dr Robert N. Winter and Dr Halaina R. Winter, both of New South Wales, Australia. “You” and “your” refer to the visitor accessing the Site.

These Terms should be read alongside the Disclaimer, which forms part of the agreement between us. Where the Site links to one of our destination publications—at present robert.winter.ink and the podcast On the Subject of Leadership with Dr Robert N. Winter, and in due course the projects of Dr Halaina R. Winter—the legal terms published at each destination govern your further use of the content found there.

The Short Version

The Site is a free portfolio and signposting hub. You are welcome to read it, link to it, and follow the links onward to our destination sites. You may not copy or redistribute material here, you may not use it to train artificial-intelligence systems, and you accept that the Site is provided as is. To the extent the law permits us to limit our liability for the operation of a free hub site, we do so. To the extent the law does not permit it, your statutory rights remain intact.

1. Acceptance

By accessing or using the Site, you accept these Terms. If you do not accept them, you must not use the Site.

2. Eligibility

The Site is a public-facing portfolio and is not directed to children. Visitors should be at least sixteen years of age. Material published at our destination sites may be subject to higher age thresholds set by their own terms.

3. What This Site Is

The Site is a portfolio and signposting hub that introduces our work and directs visitors to the destinations at which that work is published. It does not, of itself, host paid memberships, comments, accounts, or transactions. Where any such functionality is offered, it is offered at a destination site under that site’s own terms.

4. Intellectual Property

All material on the Site—including text, images, design, logos, branding, and the selection and arrangement of material—is the intellectual property of Dr Robert N. Winter, Dr Halaina R. Winter, or both, save where third-party material is used under licence or in reliance on fair dealing, in which case attribution is provided.

The marks Winter Ink, winter.ink, and any associated logos are our trademarks. No right or licence to use those marks is granted by these Terms.

For substantive content authored by either of us and published at a destination site, that destination’s published Content Licence is authoritative—for example, the Content Licence at robert.winter.ink. The terms below govern your use of the Site itself.

5. Permitted Use of the Site

You may, without seeking further permission, access the Site, share hyperlinks to it, and quote brief passages from the Site for the purposes of criticism, review, parody, satire, research, scholarship, or the reporting of news, consistent with the fair dealing provisions at sections 40 to 42 of the Copyright Act 1968 (Cth). Sufficient acknowledgement should be given in accordance with ordinary scholarly convention.

6. Prohibited Use

You may not:

  • Copy, reproduce, adapt, translate, modify, distribute, publish, or create derivative works from material on the Site in whole or in substantial part, except as permitted in clause 5.
  • Use material on the Site for commercial purposes, including advertising, sponsorship, promotion, or monetisation, whether direct or indirect.
  • Host, mirror, or redistribute material from the Site on any other platform or medium.
  • Remove, alter, obscure, or falsify any copyright notice, trademark, authorial attribution, or proprietary marking.
  • Use material on the Site, in whole or in part, to train, fine-tune, ground, evaluate, benchmark, or otherwise develop any machine-learning model, large language model, generative artificial intelligence system, or comparable automated system, whether by direct ingestion, retrieval-augmented generation, automated scraping, vector embedding, or any other technical means. This prohibition operates as an express reservation of rights for the purposes of any statutory or regulatory regime that recognises such reservation, including Article 4(3) of Directive (EU) 2019/790 on Copyright in the Digital Single Market. The corresponding reservation in respect of content authored by Dr Robert N. Winter and published at robert.winter.ink is set out in that site’s Content Licence.
  • Use automated tools—including but not limited to crawlers, scrapers, headless browsers, and AI agents—to access the Site in a manner inconsistent with its robots.txt file or any published machine-readable restriction.
  • Use the Site in breach of any law, in a way that is likely to infringe the rights of any other person, or in a way that threatens its security, integrity, or performance.
  • Introduce any virus, malware, or other malicious code to the Site.

7. Linked Sites and External Destinations

The Site contains links to external destinations, including our own destination publications and third-party websites. We do not control external content and accept no responsibility for it. Where the Site links to one of our destinations, the legal terms published at that destination govern any further use of the content found there.

8. Disclaimer of Warranties

The Site is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, representations, and guarantees of any kind, whether express or implied, including warranties of fitness for a particular purpose, merchantability, and non-infringement. We do not warrant that the Site will be free of technical faults, interruptions, or security vulnerabilities.

Nothing in this clause excludes, restricts, or modifies any consumer guarantee or right that cannot be excluded at law, including under the Australian Consumer Law.

9. Limitation of Liability

The Site is provided as a free service. To the maximum extent permitted by law, our total aggregate liability to you in respect of all claims arising out of or relating to the Site or these Terms—whether in contract, tort (including negligence), breach of statutory duty, or otherwise—is limited to one hundred Australian dollars (AUD 100).

We will not be liable for any indirect, incidental, consequential, special, or exemplary loss, or for loss of profits, revenue, data, goodwill, or business opportunity, however arising.

Nothing in this clause excludes, restricts, or modifies any liability that cannot be excluded at law, including under the Australian Consumer Law. To the extent that a consumer guarantee applies under that law and cannot be excluded, our liability for failure to comply with the guarantee is limited, at our option, to the resupply of the relevant service or the payment of the cost of having it resupplied.

10. Indemnity

You agree to indemnify us in respect of any loss, damage, cost, or expense (including reasonable legal costs) that we suffer or incur as a direct result of your breach of these Terms or your use of the Site in a manner that infringes the rights of another person. This indemnity does not apply to the extent that the loss, damage, cost, or expense arises from our own negligence or wilful misconduct, and does not exclude, restrict, or modify any consumer right that cannot be excluded at law.

11. Termination of Access

We may suspend or terminate your access to all or part of the Site at any time where:

  • you have breached these Terms or any applicable law;
  • you have used the Site in a way that threatens its security, integrity, or performance; or
  • we are required to do so by law.

Provisions of these Terms that by their nature are intended to survive termination—including provisions governing intellectual property, limitation of liability, indemnity, and governing law—will continue in force after termination.

12. Changes to These Terms

We may revise these Terms from time to time to reflect changes in the Site, in the services we use to operate it, or in applicable law. The date of the most recent revision appears at the foot of this page. Where a change is material, a prominent notice will be posted on the Site before the change takes effect; minor or clarificatory changes will be published without separate notice.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of New South Wales, Australia. You and we submit to the exclusive jurisdiction of the courts of New South Wales and the federal courts of Australia sitting in Sydney.

Before commencing any proceeding, you and we agree to attempt in good faith to resolve the dispute by direct communication for a period of at least thirty days. This clause does not prevent either party from seeking urgent interlocutory or injunctive relief where it is appropriate to do so.

Where you are a consumer in a jurisdiction that grants you non-excludable rights to bring proceedings in your local courts, nothing in this clause deprives you of those rights.

14. General

Entire agreement. These Terms, together with the Disclaimer, constitute the entire agreement between you and us in respect of the Site.

Severability. If any provision of these Terms is held by a court of competent jurisdiction to be invalid or unenforceable, that provision will be severed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

No waiver. A failure or delay by us in exercising any right under these Terms does not operate as a waiver of that right.

Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in the event of a reorganisation, succession, or business transition.

No agency. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and us.
